Executive Summary

Atlantic Network Holdings Limited was set up in 2004 to acquire New Media Studios Limited, (operators of Bladon Studios in West Oxford) and Atlantic Network Corporation

Since 2004, Atlantic Network Holdings Limited (“ANHL”) shareholders have provided in excess of $1,000,000 for the expansion of the Group (more recently into broadband television). The media division now needs to raise further capital in order to take advantage of its leading position in this segment of the New Media Industry.

ANHL believe that the reverse merger with the US NASDAQ market Listed RTGV Inc will be more effective and quicker in aiding the expansion of the media Companies. (click here for Press Release)

It also believes that the US markets are more receptive to the sector and have shown an enthusiasm to invest in businesses of this nature.

The NASDAQ market is more liquid than any in Europe and will give greater opportunities for acquisitions beyond the three companies we are currently committed to put into RTGV via their new holding company, New Media Television ( Europe) Limited.

Atlantic’s subsidiaries, Ecommercenet Limited and epaypoint plc have a market leading online verification and payment system. The company has recently signed a binding agreement to acquire 76% of Web-Pay Limited and will now have 2 valuable brand names epaypoint.com and web-pay.

web-pay is an on line credit card processor with a number of merchant clients which has become part epaypoint plc in order to expanded its client base and services. epaypoint plc has a number of larger quality clients ready to start trading through both brands on completion of testing and commissioning of the new, more robust system.

The operation of epaypoint.com will lead to a natural crossover with some of the Group’s other interests in particular subscription television delivered by the multi-cast broadband technology in which the group has an exclusive re-seller agreement.

Ecommercenet Limited also has a valuable brand name (www.ecommercenet.com) to develop in the medium term.
